Introduction
Introduction. These Terms of Service govern access to and use of the Evidentia platform provided by Evidentia Group Ltd. By accessing or using the Service, you agree to be bound by these Terms.

Nature of the Service
Nature of the Service. Evidentia provides a platform for the recording and preservation of governance activities as structured evidence records. The Service records user-submitted governance actions, preserves accountability and decision context, and maintains chronological integrity of records. Evidentia does not verify the accuracy of information, assess or certify compliance, or provide legal, regulatory, or advisory services. All outputs reflect user-provided inputs only.

Customer Responsibilities
Customer Responsibilities. The Customer is responsible for ensuring the accuracy, completeness, and lawfulness of all data entered, ensuring appropriate authority for data processing, and determining how the Service is used within its governance processes. The Customer acknowledges that Evidentia does not review or validate content.

Immutable Record Structure
Immutable Record Structure. The Service operates on an immutable record model. Certain records cannot be edited or deleted once created. Corrections must be made via additional entries. The system is designed to preserve historical integrity rather than allow modification. This design is a core feature of the Service.

Data Protection
Data Protection. For personal data processed within the Service, the Customer acts as Data Controller and Evidentia acts as Data Processor. Processing is governed by the Data Processing Agreement.

Availability and Service Levels
Availability and Service Levels. Evidentia will use reasonable efforts to maintain availability of the Service but does not guarantee uninterrupted or error-free operation.

Intellectual Property
Intellectual Property. All intellectual property rights in the Service remain the property of Evidentia. The Customer retains ownership of all data submitted to the Service.

Limitation of Liability
Limitation of Liability. To the maximum extent permitted by law, Evidentia shall not be liable for any reliance placed on records created within the Service, any decisions made based on such records, or any inaccuracies in user-submitted data. Evidentia's total liability shall be limited to the fees paid by the Customer in the 12 months preceding the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability which cannot be excluded under the laws of England and Wales.

Indemnity
Indemnity. The Customer shall indemnify Evidentia against any claims arising from unlawful or inappropriate data entered into the Service, misuse of the platform, or breach of applicable data protection laws by the Customer.

Suspension and Termination
Suspension and Termination. Evidentia may suspend or terminate access where these Terms are breached or use of the Service is unlawful or poses risk. Upon termination, access to the Service will cease and data handling will be governed by the DPA.

Sub-processors
Sub-processors. Evidentia may use sub-processors to provide the Service including infrastructure providers. A current list is maintained in the DPA.

Changes to Terms
Changes to Terms. We may update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.

Governing Law
Governing Law. These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
